Ⅱ-1     Name of Compnay

11. (1)  A  company  shall  not  be  registered  by  a  name  identical  with  that  by  which  a
         company  in existence is already registered, or so nearly resembling that name as to be
         calculated to deceive, except where the company in existence is in the course of being
         dissolved and signifies its consent in such manner as the Registrar requires.
     (2)    If a company, through inadvertence or otherwise, is, without such consent as aforesaid, 
         registered by a name identical with that by which a company in existence is previously
         registered, or so nearly resembling it as to be calculated to deceive, the first-mentioned
         company may, with the sanction of the Registrar, change its name.
    (3)  Except with the previous consent in writing of the President of the Union no company
          shall be registered by a name which –

        (a)  contains  any  of  the  following  words,  namely,  “Crown”,  “Emperor”,  “Empire”,
          “Empress”, Federal”, “Imperial”, “King,” “Queen”, “Royal”, “State”, “Reserve Bank”,
           [“Union”, “President”] ++, or any word which suggests or is calculated to suggest the
           patronage of His Britannic Majesty [ *  *]  §  or  any  connection  with  His  Britannic
           Majesty’s Government [or the Government of Burma or of any Department thereof;]++
      or
       (b)  contains the word “Municipal” or “Chartered,” or any word which suggests or is 
           calculated to suggest connection with any municipality or other local authority or with 
           any society or body incorporated by Royal Charter:

  Provided  that  nothing  in  this  sub-section  shall  apply  to  companies  registered  before  the commencement of this Act.

   (4)  Any company may, by special resolution and subject to the approval of the President of
       the Union signified in writing, change its name.
   (5)  Where a company changes its name, the Registrar shall enter the new name on the
        register in place of the former name, and shall issue a certificate of incorporation altered
       to meet the circumstances of the case.  On the issue of such a certificate, the change of
       name shall be complete.
  (6)  The  change  of  name  shall  not  affect  any  rights  or  obligations  of  the  company,
       or  render,defective any legal proceedings by or against the company; and any legal
       proceedings that might have been continued or commenced against it by its former name
       may be continued or commenced against it by its new name.

 第11条(試訳)

(一)会社は、現に存在他の会社の商号と同一のまたは欺くために計算された酷似した名前を登
     録することはできない。ただし、当該現存する会社が解散中である場合及び登記官が求める
  方式に従った合意書を交わしてている場合を除く。

(二)不注意その他の理由によって前述の合意を得ずに、現に存在他の会社の商号と同一のまた
      は欺くために計算された酷似した名前を登録した会社は、登記官の認可を受けて商号を変更
   できる。

(三)連邦共和国大統領の同意書がある場合を除いて、次のような商号は登記できない。
       “Crown”,  “Emperor”,  “Empire”, “Empress”, Federal”, “Imperial”, “King,” “Queen”,
       “Royal”, “State”, “Reserve Bank”................

(四)会社は、特別決議(special resolution)によりかつ連邦共和国大統領の書面による承認を受
       け て商号を変更できる。

(五)会社が、商号を変更したときは、登記官は、前商号に代えて新商号を登記し、事案の状
      況に適合するように変更した法人設立証明を発行することとする。右法人設立証書が発行さ
   れた時点で商号変更は完了する。

(六)商号の変更は、会社の権利又は義務に変更を及ぼさず、判決言い渡し、会社による又は会
     社に対する訴訟手続きに影響を及ぼさない。前の商号によって会社に対して続行及び開始さ
     れた訴訟手続きは、新商号による当該会社に対して続行し開始することができる。
