Distribution of Share Capital 

30.  (1) The  subscribers of the memorandum of a company shall be deemed to have agreed to become members of the company, and on its registration shall be entered as members in its register of members.
  (2) Every other person who agrees to become a member of a company and whose name is entered in its register of members, shall be a member of the company.  

31.
 (1) Every company shall keep in one or more books a register of its members, and enter therein the following particulars: -
  (i) [the names, addresses and nationality]* and the occupations, if any, of the members and, in the case  of  a  company  having  a  share  capital,  a  statement  of  the  shares  held  by  each  member, distinguishing each share by its number, and of the amount paid or agreed to be considered as paid on the shares of each member;
  (ii) the date at which each person was entered in the register as a member;
  (iii)the date at which any person ceased to be a member.

  (2)   If  a  company  makes default  in  complying with  the  requirements of  this section, it  shall  be liable to a fine not exceeding fifty rupees for every day during which the default continues, and every officer of the company who knowingly and willfully authorizes or permits the default shall be liable to the like penalty.

第30条
(1)基本定款上の株式引受人は、会社の社員となることに同意しているとみなされる、しかも、その登記によって会社の社員として社員名簿に加えられることとする。
(2)会社の社員となる合意をし、社員名簿にその名前が加えられた他の者はいずれも当該会社の社員とする。

第31条
(1)いずれの会社も1冊以上の帳簿中に社員名簿を維持することとし、次の事項を記載しておく
(あ)氏名、住所、国籍、職業、株式資本を有する次会社の場合各社員が保有する株式の説明
(い)社員名簿に加えれた日付
(う)社員でなくなった日付
(2)会社が怠慢によって本条が規定する要求を満たさないときは、不履行が継続する間、毎日50ルピーを超えない範囲の科料に処す。さらに、悪意かつ故意に当該不履行を認め、又は、許している会社のすべての業務執行者に対して同様の科料に処す。

28. (1) The  shares  or  other  interest  of  any  member  in  a  company  shall  be  moveable  property, transferable in manner provided by the articles of the company.
  (2) Each share in a company having a share capital shall be distinguished by its appropriate number.

29.  A certificate under the common seal of the company, specifying any shares or stock held by any member, shall be prima facie evidence of the title of the member to the shares or stock therein specified.

第28条
(1)会社の株式又は社員資産は流動資産として付属定款に規定された方式によって移転できるものとする。
(2)株式資本を有する会社の各株式は適切な番号によって区別されることとする。

第29条
社員の保有する株式又は資本金を特定する会社の社印を付した証明書は、反証がない限り、当該株式又は資本が、その社員のものと推定されることとする。

  Ⅱ-2      Alteration of  the Objects of the Company
12  (1)  Subject to the provisions of this Act, a company may, by special resolution, alter the
          provisions  of its memorandum with respect to the objects of the company, so far as
          may be required to enable it – 
         (a)  to carry on its business more economically or more efficiently; or
         (b)  to attain its main purpose by new or improved means; or
         (c)  to enlarge or change the local area of its operations; or
         (d)  to  carry  on  some  business  which  under  existing  circumstances  may
               conveniently  or advantageously be combined with the business of the company; or
        (e)  to restrict or abandon any of the objects specified in the memorandum; or
        (f)  to sell or dispose of the whole or any part of the undertaking of the company; or
        (g)   to amalgamate with any other company or body of persons.

     (2) The  alteration  shall  not  take  effect  until  and  except  in  so  far  as  it  is
          confirmed  by  the  Court  on petition.


 第12条
(一)本法が規定する特別決議によって、会社は会社の目的に関する基本定款の規定を変更でき
       るが、以下に掲げいずれかの項目を可能とするために必要があるとされる場合に限る。
     (あ)事業をより経済的に又はより効率的に運営するため
     (い)新規の、又は、改良された方法によって主たる目的を達成するため
     (う)操業地域を拡大し又は変更するため
     (え)目の前の状況において、他の事業と便宜に又は有利に結合できるある事業を展開するた
           め
     (お)基本定款で定められた目的のいずれかを制限し又は破棄するため
     (か)会社の事業の全体又は一部を譲渡しまたは処分するため
     (き)他の会社又は団体と合併するため

(二)変更は、裁判所の確認を得ない限り、効力生じない。
