76. (1) A general meeting of every company shall be held within eighteen months from the date of its incorporation and thereafter once at least in every calendar year and not more than fifteen months after the holding of the last preceding general meeting.
(2) If default is made in holding a meeting in accordance with the provisions of this section, the
company and every director or manager of the company who is knowingly and willfully a party to the default shall be liable to a fine not exceeding five hundred rupees.
(3) If default is made as aforesaid, the Court may, on the application of any member of the company, call or direct the calling of a general meeting of the company.
第７６条
（１）全ての会社の通常総会は、会社設立の日から１８か月以内に行わなければならない。その後年度毎にすくなくとも１回開催する。しかも、先行する総会の最後の総会から１５か月を経ないうちに行うこととする。
（２）本規定に従った総会の開催が不履行である時は、会社及び支配人又は取締役が、不履行につき悪意の当事者ならば５００ルピーを超えない科料に処する。
（３）前項の不履行があった場合、裁判所は、会社に対して総会の招集を要求又は指示できる。
